Terms of Service
These Terms of Service (the "Terms") form a binding agreement between you and MARKHUB, Inc. ("Markhub", "we", "us") governing your use of markhub.ai and the Markhub team-collaboration service (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
Markhub provides a hosted team-collaboration platform combining chat, calls, notes, todos, and AI agents ("Clones"). We may add, modify, or discontinue features at our discretion. We will give reasonable notice for material changes that adversely affect paying customers.
2. Accounts and Eligibility
You must be at least 14 (Korea) or 13 (United States) to use the Service, and have capacity to enter contracts in your jurisdiction. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3. Acceptable Use
You agree not to:
- Use the Service to violate any law or third-party right.
- Upload malware, conduct phishing, or attempt unauthorized access.
- Reverse-engineer, scrape at unreasonable volume, or otherwise misuse the Service or its API.
- Resell or sublicense the Service without our written consent.
- Use the Service to train competing AI models on data you do not own.
4. Your Content
You retain all rights in the content you submit to the Service ("User Content"). You grant Markhub a worldwide, royalty-free license to host, copy, transmit, display, and process User Content solely to provide, secure, and improve the Service. We will not use User Content to train foundation models without your explicit consent.
5. AI Features
The Service includes AI-powered features. AI output is generated probabilistically and may be inaccurate. You are responsible for reviewing AI output before relying on it for decisions with legal, financial, or safety consequences.
6. Subscriptions and Billing
Paid plans renew automatically until cancelled. Fees are non-refundable except as required by law or expressly stated in our refund policy. We may change pricing with at least 30 days' notice; changes take effect on your next renewal.
7. Intellectual Property
Markhub and its licensors own the Service, including all software, design, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. No other rights are granted by implication.
8. Termination
You may terminate your account at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that creates legal, security, or operational risk. We will provide notice and an opportunity to cure when practicable.
9. Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKHUB'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (ii) USD 100. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED BY LAW (e.g., gross negligence, intentional misconduct).
11. Indemnification
You will defend and indemnify Markhub against third-party claims arising from your User Content, your breach of these Terms, or your unlawful use of the Service.
12. Governing Law and Dispute Resolution
If you reside in the Republic of Korea: These Terms are governed by the laws of the Republic of Korea, and disputes will be resolved exclusively by the Seoul Central District Court.
If you reside in the United States or elsewhere: These Terms are governed by the laws of the State of Delaware, U.S.A., excluding its conflict-of-laws rules. Any dispute will be resolved by binding arbitration administered by JAMS in San Francisco, California, on an individual basis (no class actions). Either party may bring an individual action in small-claims court for qualifying disputes. Statutory consumer rights are unaffected.
13. Changes to the Terms
We may update these Terms. Material changes will be announced in-product or by email at least 7 days before they take effect. Continued use after the effective date constitutes acceptance.
